This license applies separately to every selected item when the buyer completes payment. Each SKU-specific model page, its upstream terms, and any signed order form may add or change rights for that item. Upstream terms govern upstream material; this license governs only the purchased model weights and repository artifacts expressly identified for the item on its product page and accepted order, and only rights Blackfrost can grant. Community software is governed by the open-source license in its own repository.
1. License scope
Subject to payment and continued compliance, Blackfrost Softwares Corp grants the identified licensee a limited, non-exclusive, non-transferable license to access, possess, run, and use each purchased model-weight item and the configuration, tokenizer, metadata, documentation, and other repository artifacts expressly identified as included on that item’s model page and accepted order, for the licensee’s own lawful internal and commercial purposes.
Each item in a multi-item order is licensed separately to the individual or legal organization identified by the accepted order. Each is a one-time license, not a subscription and not a sale of intellectual-property ownership. No item includes rights that Blackfrost or an upstream rights holder cannot lawfully grant.
A licensed item does not include Shadow CLI, Context Cooler, other Community projects, evaluation tooling or protocols, an inference API, hardware, cloud services, hosting, installation, deployment work, custom tuning, consulting, integrations, ongoing operations, or future model releases. Custom model engineering and scalable hosting require a separate signed scope. Any Community project the licensee chooses to use remains independent and is governed by its own repository license.
2. Permitted use
Unless the model page or upstream license states otherwise, the purchaser may:
- Run the model on infrastructure controlled by or for the purchaser.
- Use model inference in the purchaser’s own products, services, research, and internal workflows.
- Provide hosted outputs or API functionality to the purchaser’s end users without exposing or transferring the weights.
- Fine-tune, quantize, prune, or otherwise create derivatives for the purchaser’s own permitted use.
- Allow employees and contractors to access the model only as needed, under confidentiality, security, and use restrictions at least as protective as this license.
- Create and use outputs, subject to applicable law, third-party rights, and upstream terms.
3. Restrictions
The purchaser may not:
- Publish, redistribute, sell, sublicense, transfer, seed, mirror, or otherwise provide the weights or a substantially recoverable derivative to another person or organization.
- Sell repository access, share credentials, defeat access controls, or allow unlicensed affiliates or customers to possess the weights.
- Remove provenance, copyright, license, safety, or attribution materials required by Blackfrost or an upstream rights holder.
- Use the model in violation of the Acceptable Use Policy, law, sanctions, export controls, or the rights of another person.
- Use Blackfrost or upstream trademarks to imply endorsement or affiliation.
- Represent a De-Risked or controlled-behavior release as inherently safe, compliant, refusal-free, or suitable for unsupervised high-impact decisions.
4. Upstream models and third-party terms
Blackfrost releases may derive from third-party base models. The model page identifies the known base model and links the upstream license. Applicable upstream licenses, acceptable-use terms, attribution duties, patents, trademarks, and restrictions remain the licensee’s responsibility and may limit this license.
Blackfrost does not grant rights owned exclusively by an upstream developer or another third party. The upstream license and this Blackfrost license apply cumulatively to their respective material; neither expands rights withheld by the other.
5. Cybersecurity and reduced-refusal models
Security-focused and reduced-refusal releases may be used only for lawful research, defensive work, approved red-team engagements, controlled evaluation, and other activity for which the purchaser has explicit authorization. Authorization must cover the target, scope, techniques, data, time period, and responsible parties where relevant.
The purchaser must use appropriate access controls, logging, isolation, human oversight, and incident response. Blackfrost may request reasonable confirmation of authorization or suspend repository access when misuse is credibly suspected.
6. Term and termination
The license begins when delivery access is granted and continues unless terminated. It terminates automatically upon a material breach that is not cured where a cure is legally required. Upon termination, the purchaser must stop use, delete all copies within its control, revoke contractor access, and confirm deletion if requested, except for archival records required by law.
Provisions concerning ownership, restrictions, confidentiality, liability, and obligations that by nature survive continue after termination.
7. Warranty and responsibility
The model is provided for evaluation and deployment by technically capable users. Outputs may be inaccurate, harmful, biased, insecure, or unsuitable. The purchaser is responsible for testing, safeguards, monitoring, human review, user notices, data rights, and legal compliance.
To the maximum extent permitted by law, the model and materials are provided “as is” without implied warranties of merchantability, fitness, noninfringement, accuracy, safety, or uninterrupted operation. Non-waivable rights remain unaffected. The Terms of Sale and Website Terms govern payment, remedies, liability, and disputes.
